1. Agreement

These Terms govern your use of INQEW, software for contractor scheduling and customer communication (the "Service"), provided by [Legal entity name — pending formation]. By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you use INQEW for a company, you confirm you are authorized to accept these Terms for it.

2. Private beta

INQEW is currently offered as an invitation-only private beta. Features may change, be incomplete or be removed, and the Service may contain errors. Access may be granted, limited or withdrawn at our discretion.

3. Accounts and workspaces

  • You must provide accurate information and keep your sign-in details secure.
  • You are responsible for activity in your account and your company workspace, including actions by team members you add.
  • Tell us promptly at privacy@inqew.com if you believe your account has been accessed without permission.

4. Customer data

"Customer Data" means information you enter about your customers and projects. You own and control your Customer Data. You give us permission to host, process and display it only as needed to provide the Service to you, including showing selected information to your customers through their portal.

You are responsible for having the right to collect and use Customer Data, for its accuracy, and for complying with privacy laws that apply to you. Internal notes are not shown to customers, but you are responsible for what you choose to make visible. Customer portal links give access to anyone who has them; you are responsible for sending them only to the right person.

5. Customer communications and consent

INQEW lets you send emails to your customers. Emails are sent on your behalf, under your company name, when you choose to send them. You are responsible for:

  • Having your customer's permission or another lawful basis to contact them
  • The content of messages you send, and making sure it is accurate and not misleading
  • Complying with applicable laws on electronic messages, such as the CAN-SPAM Act and similar laws where your customers are located
  • Honoring requests from customers to stop receiving messages

Text messages (SMS). SMS sending is not currently available in INQEW. If it is added, it will be subject to additional requirements, which may include obtaining customers' prior express consent, providing opt-out instructions (such as replying STOP), honoring opt-outs promptly, sending only at appropriate times, and complying with the Telephone Consumer Protection Act (TCPA), carrier rules and registration requirements. We will update these Terms before SMS is offered.

Scheduling dates shown to customers are requests or proposals until you confirm them. You are responsible for the commitments you make to your customers.

6. Acceptable use

You agree not to:

  • Send spam, unsolicited bulk messages, or messages to people who have not agreed to hear from you
  • Upload unlawful, harmful, fraudulent or infringing content
  • Access, or try to access, another company's data or bypass security or usage limits
  • Interfere with or disrupt the Service, or probe, scan or test its vulnerabilities without permission
  • Copy, resell or reverse engineer the Service except as allowed by law
  • Use the Service to violate any law or the rights of others

We may limit message volume to protect the Service and email deliverability.

7. Fees and subscriptions

The Service is currently provided without charge during the private beta. If we introduce paid plans, we will tell you the prices and terms in advance, and you will not be charged unless you choose to subscribe. Subscription, billing, renewal and refund terms will be added here at that time.

8. Availability and changes

We aim to keep INQEW available but do not guarantee it will be uninterrupted or error-free. We rely on third-party providers for hosting and email delivery and are not responsible for their outages. Email providers accepting a message does not guarantee delivery to the recipient's inbox. We may change or discontinue features, and will try to give reasonable notice of significant changes.

9. Intellectual property

INQEW, its software, design, logo and content belong to us or our licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service under these Terms. You keep all rights to your Customer Data and your company branding. If you send us feedback, we may use it without obligation to you.

10. Suspension and termination

You may stop using INQEW at any time and may ask us to close your account. We may suspend or end your access if you breach these Terms, create risk for others or the Service, or if we discontinue the Service. Where reasonable, we will give notice and an opportunity to request a copy of your Customer Data before it is removed. [Data export and deletion process to be confirmed]

11. Disclaimers

To the extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.

12. Limitation of liability

To the extent permitted by law, INQEW will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunities, including losses from scheduling decisions or missed messages. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the 12 months before the claim or [amount to be confirmed].

13. Indemnity

You agree to defend and indemnify INQEW against claims arising from your Customer Data, the messages you send, or your breach of these Terms or applicable law.

14. Governing law

These Terms are governed by the laws of [Governing state — to be confirmed], without regard to conflict-of-law rules.

15. Changes to these Terms

We may update these Terms. We will post the new version here with a new effective date and notify account holders of material changes. Continued use after changes take effect means you accept them.
